Venture Richmond User Generated Content (UGC) Terms & Conditions

By responding “#YesVR” to asset requests when prompted on social media, you agree to the terms and conditions described below.

The purpose of this request is to use the photograph(s) and/or video(s) that you provide to Venture

Richmond, Inc. (“Content”) to promote awareness and visitation to Downtown Richmond, Virginia. By

accepting these terms or providing Content to Venture Richmond, Inc. (“Venture Richmond”), and in

exchange for the opportunity for your Content to appear in the Promotional Materials (as defined below),

you represent and agree to the following:

1. You are the copyright holder of the Content that you have submitted and that the license and

release granted by you hereunder is voluntary;

2. You grant a royalty-free, non-exclusive, perpetual license to Venture Richmond, its affiliates, and

their respective contractors and employees (collectively, the “Licensed Parties”) to edit, modify,

prepare derivative works of, copy, distribute, and use the Content in digital video, videotape,

audiotape, film, streaming, photograph or any other audio/visual media or format now known or

later devised and to use and publish such Content and media in materials, including without

limitation, Venture Richmond’s website, streaming videos (including without limitation on

YouTube), social media or other materials produced or published by the Licensed Parties (the

“Promotional Materials”) as Venture Richmond sees fit, including without limitation in connection

with the promotion of awareness and visitation to Downtown Richmond, Virginia (collectively, the

“Licensed Uses”).

3. You have the right (including without limitation the consent of any individuals whose likeness,

voice, appearance, portrait, picture, participation, or performance, is included in the Content) to

submit such Content for use by the Licensed Parties in connection with the Licensed Uses.

4. You acknowledge: (a) the Licensed Parties have no obligation to use your Content, (b) you have

no right to approve any use of your Content, (c) you will receive no financial compensation from

Venture Richmond, its contractors or its employees for use of your Content, and (d) that inclusion

of your Content in any Promotional Materials by Venture Richmond confers upon you no rights of

ownership whatsoever.

5. You will provide a high-resolution, or original, version of the requested Content.

6. You hereby release, waive and discharge the Licensed Parties from any and all demands or

claims that you have or may have arising out of or in connection with the foregoing uses of your

Publicity Content as permitted herein.

7. You agree to defend, indemnify, and hold the Licensed Parties harmless from any claims by you

or any third party arising out of or related to the Content or any inaccuracies or breaches of your

representations and obligations under these Terms & Conditions.

8. Your agreement to these Terms & Conditions is conditioned upon the Licensed Parties not selling

any of your Content to third parties.
